In the ultimate comics thors hammers doesn't have the magic spell that makes it a requirement to be worthy to wield it. Its just really heavy in the Ultimate universe and has no magic spell bonded to it

I'll always love in Fear Itself when Juggernaut got his own uru hammer and threw it at Magneto. Mags started gloating about how foolish it was to attack him with metal, then looked horrified when he realized his powers weren't working on it, only being saved at the last moment by Shadowcat phasing him so he wouldn't get hit. He realized that, just like Juggernaut, the hammer was Unstoppable
It's almost like the same situation that he had with rogue in Age of Apocalypse. He's the only person that can touch her. But at the same time he's not REALLY touching her. His power grants him the ability to create a super thin layer of electromagnetism between him and her. In order for him to be able to hold her and eventually have a kid. I'm assuming it would be the same way for him and Thors hammer.
Tony Stark and Captain America resolved this discussion in Age of Ultron - in the fact that an elevator can technically lift Thor's hammer and yet not be worthy. Magneto's powers can lift the hammer in the same way the elevator can.
