  • Founder of BikeAway, Jason Hamlin, is hoping to ride away with an investment of £600k for a 50% equity stake in his bike theft prevention company. But after failing to give Dragons a valuation that adds up, Deborah Meaden is forced to give him a surprise masterclass in numbers.
    An international sensation, Dragon's Den features entrepreneurs pitching for investment in the Den from our Dragons, five venture capitalists willing to invest their own money in exchange for equity.

He has a company he values to 600k, if a dragon were to enter the COMPANY with 600k more, that's now a 1.2 million company as it has 600k in cash on top of the pre investment value. If a dragon would pay him, personally, 600k for half the business, THEN it would be valued pre investment at 1.2 million. The entrepreneur is right about his valuation.
    He values it at £600k before the investment ("pre-money"). The dragon puts in £600k. So now the total is worth £1.2M ("post-money") of which the dragon owns 50%.
    If the entrepreneur where to sell his 50% of the business for £600k and be able to put that money on his personal bank account (rather than invest back into the business) that would be a different story, but that's not the case here. The dragon immediately owns 50% again of whatever they invest.
    Surely the dragons know the difference between pre-money and post-money valuation, but I believe Dragon's Den's rules don't allow discussing this to keep things simple for the audience. I'm not sure why they chose to air this. It makes all involved seem clueless.

      I understand how he got his numbers. The Dragon's money wouldn't go to him, it would go into the company. If his company is worth 600K, then his company with an additional 600K in cash would be worth 1.2 million.
      However, I think he mainly wanted the exposure.

    This is also my concern about the valuations. Because when investors pay the 600k, they would own 50% of the company that is worth 600k. But their investment does not go to his pocket but to the company in which after investment should be valued at 1.2M. So if now the investor owns 50%, it's equal to 600k. It's different when an investor buys the whole company because the money would be in the owner's pocket and not reinvested in the company. So I think this guy has a point. Please enlighten me if I'm wrong.

    • @JosefTD
      @JosefTD Před 2 lety

      I totally agree with you. Honestly I cannot understand why the dragons don't see this. Maybe they are trying to get themselves a deal. Company is worth 1.2mil, they give the guy 600k for him and can have 50% of the company - no problem. However company is worth 600k, they add 600k of assets to the company, the company is now worth 1.2mil and they own 50% as they own 50% of the assets. I'm sure I saw an episode when the dragon said 'I'm paying 60k for my 20% meaning your 80% is worth 240k' which totally contradicts what deborah is saying here.

    Guy is completely correct about the value of his business. The Dragons are confusing buying with investing. The money is going into the business, not into this guy's pocket. So by investing £600,000 you increase the value of the business by £600,000, i.e. with the investment the business is worth £1,200,000, so without investment the business is worth £600,000 less, i.e. £600,000. The fact the voice-over guy said this guy is wrong is the most frustrating part.

    I'm actually on Jason's side on this one. The Dragons value the business solely based on profit neglecting Jason's $600k contribution. Jason gets confused where he says it's only valued at $600k- despite selling 50% for $600k making the business worth $1.2m. A $600k business that has an additional $600k in the bank is worth $1.2m, not $600k. I don't think it's that complicated.
