    Tesla shareholders have proposed a vote to approve a massive $56 billion pay package for the company's CEO Elon Musk. Though Musk does not draw a salary for his work as CEO, he owns around 20% of the company. In 2018, shareholders had proposed a pay deal which would see Musk receive around 1% of Tesla shares every time he achieved a financial or operational target. The 2018 deal works out to around $56 billion over several years. A US court had blocked this deal after a few shareholders opposed the deal, but the proposal is now back on the table. Is Elon Musk worth $56 billion to Tesla? Why are CEOs paid so much amid recession fears and layoffs? Palki Sharma tells you.

      @kellymoses8566 From what I understand, "Tesla's 10-year pay agreement with Musk reached in 2018 would be worth around $51 billion at Tuesday's closing price for Tesla stock, accounting for the cost to Musk to exercise the options." He hasn't collected any form of salary since Tesla's inception, targets worth a specified amount in stock options were set. In this case a 10-year target, agreed to by the board (that seemingly represent the shareholders). The man met those targets, so he should be paid what he is due.
      How much influence he had on the board to approve such massive payday is a story we can't tell. They could go to court and prove he influenced/dictated this payday (which is fraudulent) but until then, he should be paid because the company agreed to pay if he reached those goals as the driver of the Tesla train. Which he did!!!i

    If Elon Musk met his target, then he should get paid.
    The agreement says he gets paid based on the performance of the company, so the current performance makes him eligible for $56 billion, then they should pay him his worth.

    This is partial information. Only valid statement in the video, "would the company made what it made without musk". Rest of the information is all retrospective. When the pay package was announced, Tesla was valued (if I remember correctly) around 50 - 60 billions USD in 2018. Today's market cap is below his payout criteria. It can argued if the market jump was due to manipulation (jail him if proved guilty). Just because nobody else got this kind of payout structure, doesn't make it illegal. Most of the initial investors in TSLA are Tesla Car Owners(including me), they trusted his vision, sustainability and invested not because they were expecting huge returns. I gained from TSLA (currently I reduced my position to almost nothing). When I saw the pay package numbers in 2018, I thought it's ridiculous. Retrospectively I would have preferred better vesting criteria (may be 10 years) or some portion tied to his post-retirement value.

    This goes to the core values of our society. A man who built a brand from scratch worked passionately for 10 years and now when it's time for him to receive his due these people have a problem with it. If this contract is breached then no contract is valid and what is the meaning of having contracts anyway. But as an Indian, I can relate to this. Here also we don't get paid based on our performance. Whenever we exceed expectations, the bosses somehow find a way to pay less. Perhaps this sentiment is driving these people.

      He didnt build Tesla from scratch point of correction. Tesla was founded by Martin Eberhard and Marc Tarpenning. Musk was the biggest investor at the early stages who yrs down the line forced the founders out. So many tend to forget this part

    I'm a little surprised by the opinion shared by Palki in this segment.
    Elon is the co-founder of the company and took over as Ceo in 2007 (if I remember correctly) when the company was worth next to nothing. He took the company to a market cap of ~60 billion dollars in 2018 when this pay package was announced. Shareholders overwhelmingly voted for this pay package at a time when the entire world was laughing at the targets set for the payout (you are free to look up the articles and media coverage at the time).
    Now, the company is worth 500 billion and all targets were hit and suddenly it's unfair.
    Its also disingenuous to report how the stock has done over the past year and not mention how it did since the announcement of the pay package in 2018.
    Its also important to remember that shareholders are the owners of the company and they have every right to decide how the CEO is compensated. The soliloquy on Ceo pay was nice but unnecessary. At the end of the day it's demand and supply. You want the best person running your company then you have to be willing to pay accordingly.
    When companies are worth hundreds of billions or even trillions, then leadership is extremely valuable. Every decision is worth hundreds of millions or billions in revenue/profit etc.
    As a shareholder, ill be voting in favour of Elon's pay package. The man has revolutionized the automobile and space launch industry, even when the rest of the industry "experts" and the wider world was laughing at him.

    When the compensation was announced, it was next to impossible, then everybody agreed because they knew that it cannot be reached, but he proved them wrong. He converted a bankrupt company to a 1 trillion company. And he didn’t take salary till date. Better pay up.

    A few corrections are required. His stock options were set when all of the big players in the market, were saying that the company was a ridiculous pipe dream. It should also be noted that 80 percent of the shareholders voted in favor of his options and incentives package.
    It should also be noted that Elon himself said that Tesla share value was too high. And the SEC came down on him like a ton of bricks, for stating the truth. Eviserating freedom of speach.
    Tesla was taken to court by a vulture legal firm, representing one head banging rocker who purchased 9 shares. The firm works on a percentage of what they win. Their legal fees in this case are 6 billion dollars.
    The Judge should have recused herself, since she had a personal connection with the legal firm. And may receive a portion of the payout under the table.

They must have knew what they were signing into and also they didn't believe this day may come in the future. Elon Must is someone who revolutionized the EV industry where people laughed hearing EVs.     Did she say the targets were easy? A large part of the compensation was market cap. Tesla would have to be worth 10x the value of when the compensation was originally proposed. Everyone outside of us shareholders who voted yes understood that it was a difficult goal but would return a lot of value to shareholders.

    These comments pertain to logic rather than Elon Musk. If someone received a bonus in the form of shares five years ago, and those shares have increased in value at an astonishing rate over the past five years to the point where they are now ten times more valuable, it raises several moral questions to consider that the recipient is not eligible for the bonus based on the initial valuation from five years ago. Taking back the shares that have increased ninefold and returning only the amount equivalent to their original value poses many ethical dilemmas. For example, suppose someone received Bitcoin as a bonus 20 years ago, and its value has now increased 100,000 times. Should we then take all the Bitcoin and allow the person to keep only what was worth the original value 20 years ago? Both the share and Bitcoin examples involve risk, as the values of these assets could also have decreased. Therefore, the bonus recipients took a risk, and fortunately, it resulted in a positive outcome

    A deal is a deal, & this pay package was agreed & decided by shareholders long back with majority of votes, and he deserves it, and don't compare ELON with rest of the world CEOS. He is the FACE of the company and his contribution to this world will change the future of humanity. Please check the FSD videos on you tube and see how ground breaking solution it is.     Palki ji, this is easy one 😊. Having effective CEO is very important. We can look at Microsoft performance Vs Google performance. Both companies have amazing engineers so no problem there, but what Microsoft CEO vision is way better than Google CEO. So Elan Musk is Tesla and if he needs extra push to share his vision then so be it.

    What kind of nonsense reporting is this? Sounds like she has a vendetta.
    Put simply, the deal has to be honored.
    But for those who don't know why, here's the breakdown:
    State of Tesla when agreement was made:
    Tesla Market Cap: 59 billion
    Musk Salary: 0, gets nothing if Tesla doesn't reach 100 billion
    - “Production hell”, building cars in a tent in its car park, while making some models without seats or computer modules because of supply chain fumbles
    - Previous production milestones missed
    - Just 12 billion in sales
    - Barely 400 million in profits
    - Overtaking GM in revenues and Microsoft in valuation seemed unattainable
    - No one took Tesla seriously, with Bill Gates among others shorting Tesla stock
    Pay Package Agreement Targets:
    16 separate financial targets spread across...
    - Revenue: 175 billion
    - Adjusted earnings: 14 billion
    - Market cap: 650 billion
    Now pause for a moment and think how difficult, maybe even impossible it might be to take a struggling business from 59 billion to 650 billion. If Tesla failed, Elon Musk's efforts, pain, time and stock would be worth nothing.
    Reward for Musk if he meets targets:
    - Roughly 10% STOCK in Tesla
    - IF he hit 12 of the 16, he would be able to vest shares worth upwards of 50 billion
    - ie. If he worked so insanely hard to achieve almost unattainable goals he would increase the value of Tesla for all shareholders that were willing to take a risk and bet on him, for which he would get 10% stock. 10% stock that would not be worth as much had he not been part of the equation.
    What Tesla achieved since the agreement under Musk's leadership:
    - Increased output
    - Sales soared
    - Shares rose past those in Toyota, topping $US1 trillion in overall market value
    - Model Y became the best-selling car in 2023
    - He did it, and no one else in the world could have done it
    Now look at the hypocrisy:
    - The plaintiffs making the complaint have increased their net worth significantly because of Musk
    - The plaintiffs' Attorneys want to be paid in Tesla stock 🙄
    Why the agreement should be honored:
    1. It's the law
    2. It's right
    3. Musk exceeded his targets
    4. Musk is cash poor and uses funds to invest in projects that move humanity forward, so let him.

    If this was challenged before the targets were hit and they won it would make sense. Now that the targets have been hit then the agreement should be honoured. If you give me a job and we negotiate a salary I will work as hard as I can for the agreed amount. You cannot try to renegotiate after I have delivered. My efforts and committment to delivering is directly proportional to what I will get out of it. Pay Mr. Musk what is due to him.

    fter two and a half years from an all-time high, I now believe that it's fair to say that Musk has failed his investors; furthermore, he has proven himself incapable of restoring and recovering Tesla's valuation. While I agree that Tesla has had its challenges, but Musk himself has been part of the problem. That said, Tesla should not agree on a compensation package until Tesla's stock reaches $300 dollars a share. That is the incentive he needs; otherwise, he gets paid billions and never really has to perform to the level required to drive Tesla's stock back up to $300 dollars a share.

    There are over 100 EV car companies in China. Tesla is probably ranked somewhere at 65. Elon Musk has literally given up on Tesla because innovation and vertical integration production has killed his company off on price and quality. China is just way ahead. I would short this share now.

    Unlike so many other corporate executives who run their companies into the ground, then abandon ship with a lavish golden parachute that REWARDS them for failure, Elon Musk's pay package gave him absolutely nothing unless he DELIVERED on insane performance targets. This was one of the most shareholder-friendly, shareholder-aligned pay packages in corporate history. And he delivered on ALL of those targets. The shareholders benefited hugely. The company benefited hugely. Every other corporate executive alive would have turned down the deal that Musk accepted, because there were no guarantees, no safety net, no nothing. Elon Musk has earned every dollar of his compensation. Pay the man. This is one of the dumbest "controversies" in a very long time.
