The buyer is looking for potential profits. The buyer is not interested in the past. When I am buying a business, I want to know what the future will look like rather than the past. Tom is spot on in his advice for business sellers. It's about what the business looks like going forward and what are the risks. What is also important in order to get maximum profit is to have multiple buyers in place who will compete against each other for the purchase of the business. Having only one buyer presents a number of issues which can be eliminated by creating a competitive environment for the business.

Good video Dan,very thoughtful. I have a distribution Small company în EAST EUROPE and here aren't many company sales except for big ones or corporate. Id like to participate on events organised for the local business if there were. Ît s a pity i am liquidating a prophitable business with a solid client base grown în 7 years.

    Dr. Tom
With all due respect, I totally disagree with your philosophy that businesses should be valued based on potential and not valued on historical data. Giving sellers a "pie in the sky", "what if" buyer scenario, could easily portray a false sense of value based on unrealistic or unattainable goals. Potential for a business should be taken into consideration when seeking value but it should only be leveraged when marketing strategically to a specific buyer.
If changes need to be made to a business to increase the value, the seller should do so. If the seller is unable to make modifications for whatever reason, this should be reflected in the value. I believe the pitch in your video is very attractive to business owners who might be considering listing but in the big picture, is it realistic?
