Does a Non Competition Clause Meet Your Goals

  • Previously, I discussed the pending FTC Ban on non-competition agreements, or non-compete clauses, in employment agreements. In New York, we already had restrictions on these, so maybe the federal restrictions aren't as frightening for businesses as you think. Regardless, now is a great time to consider:
    1. What are the goals you expect to achieve through such agreements?
    2. What do you hope to achieve? Of course, it's non-competition, but be more specific and consider the likelihood, for example, that your employee is going to leave you, work for a competitor, and damage your business. Not all employees have access to intellectual property or know how to use it against you.
    3. How vulnerable are you to losing clients to a former employee and why? It might be easier to make clients choose you.
