Touker was VERY generous he wanted to give them a 10% of his business
They could only run operations from his office units, which will involve paying monthly rent from their own pockets and that's not including utilities!
They should have done a Peter Jones and said "Touker, we'll take 10% shares of your entire business portfolio in return for 90% of our business".

Business currently worthless, they would get 5% revenue for doing nothing plus keep 10% undilutable shares.

And 90% of any candy you ever get, see or speak of for the rest of your life. If you get sick and someone brings you candy in the hospital, I'll arrive at your bedside and claim what's rightfully mine. Pour yourself a bowl of Lucky Charms? Technically every little marbit in the bowl will be candy and I'll want my 90%. Step on a piece of gum while walking down the street? Yup, you guessed it: I want my 90% off of the bottom of your shoe. You must have it cleaned and reprocessed into a usable form and flavor of my choosing. I'm especially fond of flavors that are virtually impossible to replicate such as real Coca-Cola. But you must make it from scratch. You're not allowed to simply pour in a few ounces of the actual soda. That would be disreputable and underhanded.

You're stupid. They would literally get 10% of the company's shares if it was a successful brand to turn into a PLC. On top of that, they'd get 5% on ALL of the brand's sales no matter what. Sara 100% played the long game, as they obviously don't understand how limited companies work. In the UK you need to hold 75% or more of the company to have control over it, and anything less means you don't have control over your own business.

It's also the reason why Peter Jones was not in this episode because he was on self quarantine and Theo served as his substitute. I think it was part of the safety protocols for the entrepreneurs not to shake hands with the dragons despite agreeing to a deal.

I met someone who made a simple gadget for baby carriers. She got a patent, let a major company take it and was happily taking $250k a year in royalties for what had been several months work.
It's really clever actually. I think unless the business is your heart and soul an offer like Touker's could actually be explored. Sure I'd feel plenty bigger if he was making several hundred thousand and I was making 5% of what he got, but in reality if I didn't accept the offer I'd probably have earnt nothing whilst throwing a lot of money at it. Money and time for that matter.

I thought it was a tempting exit strategy, but the deal needs a bit more tweaking when they need to account for the time spend on developing the product.
Your friend probably has some conditions for leasing the royalties (minimum amount of sales and so on). The patent likely still belongs to her or she might have sold the patent for a good amount of money + royalties. This is not what is happening here.
The problem with the proposal here is that, for only 50k (that is essentially going back to himself), the investor might just put it in a drawer and make sure competitors won't put this into the market - basically gatekeeping. Specially taking into consideration that it's not a stablished product/brand that consumers are demanding. The couple runs the risk of the investor never really exploring the product to its full potential and then they wouldn't be making money. They essentially would be giving away the patent and praying he makes this product a priority.
In that case it would be better for the couple to actually sell 100% of the company and pocket some money + take some royalties. That way they at least secure a minimum amount of profit and have a better understanding of how much the investor is actually interested (aka his willingness to actually buy the concept). It's very sketchy that he didn't want to spend any money to get this product and let the couple have 10% to justify not giving them money. Its even more sketchy because he didn't try to fight for the product - it makes me feel that his mindset was like: "sure... for free I might as well have this up my sleeve if I ever need it".
Please make sure the show is never over produced. Its always being brilliant. Ive watched every episode of every season.

If they agreed, it would've been a huge loss and literally agreeing £50k + 10% (£55k in total) as a valuation of their business!
£55k is also the sum a senior manager would earn at a law firm! And to value a business at that amount is disrespectful on Toukers part!

Man idk why people are so offended by this offer. He's offering to buy their company and give them royalties, what's wrong with that? The product has not taken off like you would hope there are some basic things they haven't done like put it on Amazon which would indicate they are either fatigued from running the business or just not capable. Presumably under his management he would use his connections and distribution to get it selling and give them an immediate return.
Lot of people here clearly don't have a clue what it's like running a small business that's not earning you any real money.

My main concern with this very creative product is that the _only_ option, so far, is lying the baby onto the floor and using your knees as leverage.
We've all used public washrooms, and that visual seems like a nightmare.
If they came up with a similar idea, with the same type of leverage for an elevated changing surface, they'd have a real winner.
