    Thanks for your educative narration. Please I would like to know if the cost should always be lower than what you give to non distributors? Also, should the distributor be given an incentive in addition to price reduction?

      Generally, yes the cost for the goods that you provide to non-distributors (say $100) should be higher than the cost of the goods you provide to distributors (say $80) , because you need to allow the Distributor to make a margin for their efforts in obtaining, supply and marketing the goods ($20 - in my very basic example). Often distributors are given additional benefits, like greater access to stock (ie the ability to supply more different types of the products), faster supply times, maybe longer warranty periods etc. Basically the concept here is that you want set your distributors up to succeed, so whatever you can do to enable that (whilst still making enough money yourself) is going to be a smart thing to do.     Great Video! I'm in the process of coordinating an agreement right now, however I am acting as a third party coordinator. Where would I learn how to set up a contract for myself as it relates to my compensation?

      Hey Brandon, send me an email and I will give you some ideas. Setting up a contract like that isnt a big deal (compared to some ultra complex ones we have worked on) but working out how much you should get paid and how the payment mechanism works (so that you can preserve your rights as the middle man) now thats the challenge.

    ¡hi! good day, excuse me, im a laws student in Colombia, 1 teacher left me the work of make a arbitration award action between a EEUU factory and Colombian Factory for a distribution agreement, i will use your list in the items that i will use in the agreement, but i dont know if there is a act that talk about this, or the CISG is the only instrument or is complementary in the pacta sunt servanda just like the unidroit principles, I await your prompt response and thank you in advance.

    What to do if a customer wants to sign a distribution agreement of 3 years but the company’s policy allows to sign once a year

      You could do something like build in an option process into the contract, so that the 1 year term is able to be extended by taking up the option period.
      But there are other things you could do as well, like a rolling 1year term that automatically renews unless one or either party don't want it to.
      They are just some ideas. Hope that helps.

    What if someone made an logo for my Brand and I wanted exclusive rights to it without any royalties. I'm aware of how vague it sounds but I would like to know how to go about things from here.

      Hey Raynell, generally (in the absence of a contract) if you paid someone to develop some IP for you (in this case a logo) they would own it but you would have a right to use it, (because you paid for it). However, to correct the situation and to ensure that you own the intellectual property rights in the logo you could do a deed of assignment which transfers IP to you. Those sorts of documents aren't overly complex. Hope that helps - as I am guessing a few things here. Best Simon

      The Contract Company thank you for this, this was very useful, I currently use rocket lawyer for my contracts. Are the alternatives names for this document are any of the following? Assignment Agreement, Assignment of contract, contract assignment,or assignment contract?

      @@raynellduncan2394 Hi Raynell, I am not overly familiar with Rocket Lawyers products but 'Assignment Agreement' looks like it will just assign the benefits of a contract which is not quite what you want, rather you need an IP assignment agreement, like the Trademark Assignment (but that might not be 100% correct if it doesnt enable unregistered marks to be assigned - and I assume you have not trademarked your logo). I would think that the Trademark Assignment document would be able to be configured to work. Sorry once again I know this is a vague answer but its the best I can do, trying to assist with limited information and I am not sure of which jurisdiction you are in.
