Going public is the ultimate graduation for an entrepreneur. The black belt. The Academy Award. The Olympic medal. Listing your company in the New York stock exchange. Going public.
And it’s also one of the most complicated, expensive, and dangerous processes a company can go through. Last year, WeWork almost went out of business because they tried to go public.
More recently, as with everything in business- somebody found a legal way to cheat their way to going public, a method called a SPAC, and it may be one of the drivers to the new stock market bubble of the decade.
But to understand SPACs we need to understand everything from publicly listed companies, so let’s look into the process a company like us would take to get here in today’s company Forensics.

Your level of filmmaking is higher than any tv channel
Thank you!
Sorry, couldn't hear you... Too much background noise :(
Then mute and watch with captions. U get free HQ content and ur only réponse to their effort is “I want this. I want that. Me me me”. Chup Desi Chakke.

Yes. I really love Slidebean making style. One more channel I am big fan - James jani. check it out.
"This is crazy where would they find that kind of stock footage of cake cuttin OH"
Ahahaha yup, same reaction
Damn man that's a lot of knowledge for my brain to process
Yup it's literally a finance chapter completed in 30 minutes.
Coming from the industry, I’m happy to say that I recommend interns watch your videos to get a “generation friendly” understanding of specific topics. Keep it up
Not only watching, I feel like I need to study their content. Impressive!
Damn these vids are learning me more than 4 years of economic school
Guessing you didn't pay attention in school? Hahaha. ;)
Great to know someone is learning more from this video than a economics school so I can save time and not going to one :)
It’s apples to oranges man, the video has not much to do with economic concepts.
@@this.is.lapc506
You don't need a piece of paper telling you studied economics in order to learn about financial markets... it's still a decent degree, but what matters most is studying on your own and focusing on extracurriculars (finance club, certificates and other activities).
Honestly, if you see economics as nothing more than a degree to learn about finance, then it's better to go to any engineering school with good reputation and join their finace related clubs.
This is an excellent video and probably the best breakdown of a SPAC I have seen yet on CZcams. A lot of videos and articles really don't point out directly how this is simply just a pile of cash with no history going public, and then, later on, acquiring a company to then replace the pile of cash that has already gone public. It's about 100000x easier to IPO a pile of cash with no history than a company with complex books and a long history.
This is like 1 CZcams channel I really trust with it's information and also I would love to connect with you Caya
Another underrated video from these underrated guys🥺
🥺
Incredible video man, you explained the entire process in the easiest way.
I've been following your videos lately and they are excellent. Accurate, well put together, and teach as much as they entertain. I particularly enjoy the company forensics series, that is a Netflix saga in the making. Just noticed I wasn't subscribed to the channel, error reverted.
Glad you're subscribed to the channel now. Welcome to the family 💙
Took Securities Regulation in Law School last semester, video is on point, wish I had this before class!
Another great video, although Caya needs to learn how to cut a cake lol
LOL Yes!
I don't work in tech but I really like watching your videos. Very informative and very creative in form and delivery
Glad you like them!
This video is simply amazing the information and the production are great. I love your videos please keep them coming. Thank you!!
Background noise is louder than Caya's voice.
Amazing content 🎉. Happy holidays!
The quality of these videos are doing step jump improvements in terms of prod quality.. 👏 bravo 👏 Love their hustle game.... I’m off to get some cake 🎂
Production quality of Slidebean has improved, drastically and it is really good! Good job!
Thanks! 😃
What a beautiful presented high quality information.
I was looking for IPO process information for long time. Still was not clear. This was simply the bsst explanation I saw today. Bonus was the SPAC. 😍
Love you caya and slidebean team 💕
People are always quick to talk Down on SPACs. Good luck, they're here to stay.

Thanks for watching even with our videos sucked :D
@@cayahere Even you know that's a lie....xD
Video production is so good 💯💯💯💯🔥🙌
Thanks 💯
Incredibly well produced. Incredibly informative. Excellent excellent work.
I love your video. I know it's not your main bread and butter but I love them.
Glad you like them!
All the knowledge we needed 👍👍
i lately invested in a spac - jaws spitfire. it's already public with which company they're going to merge with (velo3d). why? doesn't that not fit into the picture of "you can't know what they're going to do"? (only invested a miniscule amount / part of the overall portfolio so no worries anyways).
Great video and thanks for your research
Seeing you and your team / company go from strength to strength with your editing, content and research has been my favourite thing to watch - Keep up the stellar work guys!
I remember back in 2003 or 2004 Google did IPO without a bank and one of my "banker" friend said it is not very successful.... Yeah fast forward to 2021 it really was the right decision, look at how that 7% would have costed them in the long run.
As always you did an excellent job of making something complex clear and understandable.
Another fantastic video. Thank you for stopping me from investing in CCIV!
Your film and content production is amazing sir!, on another note SPACs are complex for a reason, if you get my drift lol. I always thought that about those honestly. 🤙🏾
Damn you are on one man... great job with the creativity 👏 and the quality of this work..great job 👏
keep up the good work!
This makes me feel like we need less "entrepreneurs" starting (then selling) businesses, creating pseudomonopolies, and more passionate people creating business doing something they love
$10 redemption floor at NAV, pre-DA is relatively attractive
superbly superly awesome video , very informative
Good one. Any good book you can refer which gives detailed info on SPACs and IPO preparation?
cool next level story telling. One Love
Wow. This is great content. Appreciate the detail.
Glad you enjoyed it!
Great video. Very informative!
Wow😭😭🔥🔥🔥
Last step if the SPAC merger is not metioned 18:33 any investor can take their money back if they dont like the target and in fact many of them do
Nice haircut and awesome video.
Found it very eye opening in terms of the data concerning the value( return on investment) of SPAC over time.
Very well put togueter. Thanks for the hard work. If I can make a constructive input, the background sound/music can be distracting as the level can be higher than the narrator’s voice volume. Just slightly decrease the volume :)
Keep up the good work!
Great story telling!
Thank you, very informative. First time, I felt compulsive to take out a notepad and write notes while watching a youtube video :)
Why you gotta grab up the cake like that?! 🤪 Another great video, Slidebean!
Great info 👍. Thanks
Glad it was helpful!
This is such an incredibly high quality video. Amazing content
🚀🚀🚀 Good stuff keep it comin
Can someone explain what he means by "SPACs have to eventually acquire a company". So does that mean, before SPCE became a listing, it was originally under another ticker symbol like "XXYY" OR does he mean SPCE will eventually have to acquire another company and for now it's essentially a shell?
SPACs are just shell companies, they don't produce any income, they have expenses of a publicly traded company. So they have limited time to purchase a company before the money runs out.
Love your content.
Great vid- 👍🏼👍🏼👍🏼👍🏼
Hi, what if I have an idea, that will complement existing well-known company, using their platform to target new market segments, which they currently don't do, how do I go about it
19:10 when you're listening to the speaker but that drop was too fire and A/V had to turn it up lmao
Can the money raised in a SPAC be invested say simply in a b ank for interest or does it have to go i n to a trust? Just wondering if you can invest the funds why worry about the 2 year limit? Just return the investment and pocket the interest?
Really interesting commentary - for the analysis of SPAC returns, do you also have a analysis to show how other IPOs compared over the same period?
Thanks man for providing such a good 👍👏 content
Some feedback: the music for this video is distracting from Cayas voice. It feels like the music takes as much attention as Caya himself.
I've watched all your videos since you guys started doing them and this is the first time I've noticed this. I just went back and skimmed through a few older videos and this is not an issue in the past.
great information and video production, as always. However, I do think that the whole cake slicing and eating was too distracting and would've been better if you showed diagrams etc. (or did something. like you did with the Dot-Com bubble video). I had to look away to focus on what you were saying.
But, great video, and I learnt a lot. Thank you
Damn, the video editing is like from the future.
P.S: Is slidebean gonna go public at some point?
Did you wear a fat-suite for the B-roll & bake a slidebean cake? Killer
Yes, and yes. 😇
The link to Harvard in the description is dead :(
The background music is definitely too high. Can you re-upload this with a lower volume? THanks
Great content
Waiting for Avepoint to go public Via Apex Technologies SPAC. The SEC are taking their time processing SPACs right now. 90% of SPACs are just trash but there comes a time we're decent SPACS are around
I work in the first mexican firm listed through SPAC. Grupo Acosta Verde, which is a shopping center developer and manager, went public last october 2020 rising 200M USD. So, you're saying SPACs are a complete trash but also you're distinguish between good and bad SPACs. Smh, I don't get your point, bro.
Can you go over search funds? Especially curious as you've seen adjacent things including founder/ceo/EiR/consulting for SmB's on the S&P-ish side.
I couldn't find a better more thorough IPO explanation on the internet.
Good to know 😉 Feel free to share it!
Can u make a video on logo making next, and thank you for your great content!
I will definitely use Slidebean for creating my pitch deck in the future
Just found out about your channel :) love it! One question- why no crypto vids? Btw not a noob in it since 15^^
What a powerful delivery of content.
6:44-7:52 When I saw you cutting and handling the slidebean cake, I was tempted to say, "My mom would NEVER handle or cut a good cake like that!" However, I think I understand what you mean by underwriter.
A SPAC is simply an investment vehicle. There are good ones and had ones.
the quality of these videos omg
XTB is...... European Robinhood listed on Warsaw Stock Exchange that make 10% dividend payments
Flaco, as an older Puerto Rican, who loves social studies, business and history.
Wow Caya! Please tell the story about Bogotá!!
SPACS have become trash now because of the SPAC boom generating insane valuations to 0/low revenue companies.
It takes a lot of effort to move and speak so slowly that people behind you move faster, kudos to you caya
We most certainly did enjoy the cinematic aspect of the video much more than the knowledge....or did we?....or didn't we?🙃
I didn’t understand before, but now I REALLY don’t understand. 😅 great video as always though
The background music is too high. I have serious difficulty understanding what you are saying.
SPAC are not the problem, the problem is, that the market became speculative and SPAC are natural targets.
excellent excellent analysis - thank you
