    Can corporations' relentless focus on maximising shareholder wealth actually harm investors? UNSW's Centre for Law, Markets and Regulation presents Prof Lynn Stout, the Paul Hastings Distinguished Professor of Corporate and Securities Law at UCLA, in the second seminar of the series "In Who or What Do We Trust?"
    Lynn Stout has been described as "the closest thing to a rockstar in corporate governance". Professor Stout advocates the end of shareholder primacy where public corporations belong to their shareholders and firms exist for one purpose only - to maximise shareholder wealth. However, modern corporate practice needn't be this way. Professor Stout argues that shareholder value thinking actually harms investors, over time and as a class.
    The CLMR in association with Allens Arthur Robinsion and the Centre for International Finance and Regulation is delighted to welcome Professor Stout to lead the second seminar in the series 'In Who or What Do We Trust.'
    The lecture is followed by a panel discussion moderated by Professor Justin O'Brien, Director of the CLMR. Panelists include:
    - Professor David Vines, Professor of Economics at the University of Oxford;
    - Mr Greg Medcraft, Chairman, Australian Securities and Investments Commission;
    - Mr John Colvin, CEO, Australian Institute of Company Directors;
    - Professor Seumas Miller, Professor of Philosophy, ANU;
    - Mr John Morgan, Partner, AAR

    This is a great lecture. Shareholders only own a contract with the corporation which we know is its own separate legal entity, just like a person. Nobody legally owns a corporation just like nobody can legally own a person.

    current stock price is arrived at through market confidence in the firm. investors aren't stupid and they do their homework to figure out which firms are heading in the right direction, probably better than the actual board which has clouded judgment because they are evaluating their own work. yes the directors often not ceo/executives, but they know them personally and directors see themselves as guiding ceo/executives so that's why it is their own work.

    In February 2019, an Argo shareholder issued a press release in which it alleged, among other things, the misuse of Argo assets by Watson, including undisclosed personal usage of corporate aircraft. On April 12, 2019, during a proxy contest with this shareholder in connection with Argo’s May 2019 annual shareholders meeting, Argo filed a definitive proxy statement that failed to disclose over $1 million worth of perquisites, including over $230,000 related to Watson’s use of corporate aircraft. From 2015 through 2019, Argo incorporated its definitive proxy statements into its annual reports by reference. From 2014 through 2018, Argo incorrectly recorded payments for the benefit of, and reimbursements to, Watson as business expenses, and not compensation. As a result, its books, records, and accounts did not, in reasonable detail, accurately and fairly reflect its disposition of assets. In addition, Argo failed to devise and maintain internal accounting controls relating to payments for the benefit of, and reimbursements to, Watson that were sufficient to provide reasonable assurances that transactions were recorded as necessary to maintain the accountability of assets. These failures included, for instance, a practice of providing expense reimbursements to Watson without requiring an adequate explanation of a business purpose for the expense, allowing Watson to approve his own expense reimbursement.

    Good speach, but the problem is, she did not criticize the concept of VALUE Based Management, but rather its distorted cousin - Current Share PRICE (not value) Based Management. Current / short term PRICE maximization at all costs shall not be mistaken for long term VALUE maximization - they are different species. The former is the bastard of the latter. Unfortunately corporations, despite claiming being run acc. to VALUE creation priciples, are actually run with current stock price in mind.

    faith in humanity (or rather sanity in academia) is restored beginning from 34:17. the woman is an idiot who misrepresents the shareholder value theory (shareholders only want share price to increase in the short term), slanders milton friedman, creates lots of strawmen, spouts nonsense about corporate charter's purposes clauses, makes non-sequitur conclusions, etc.
