      She did create the company and so she did own it at one point but she sold it and was most likely lied to by Katjes after they claimed ownership of it, probably something along the likes of “oh no no noooo youre still the owner and the ceo and most important central figure to this brand and have the final say and all that but uh we’re keeping 90% 😘” when reality is none of that is true. Katjes is the owner and therefore has final say in everything, they are the central figures and could actually be considered illegal that they would send her out like this on their behalf. I feel like they fluffed up her importance with lies and then sent her out to get set up. Tragic.

    • @xxgn
      @xxgn Před 3 lety +55

      @@qtpiefuuurrrever I think that's a bit of an unfair characterization. While technically she doesn't have final say, I think that, unless she messes up, Katjes' intent is to give her full control indefinitely. Not out of any sort of kindness but because she's (presumably) done a good job running the company. I suspect her agreement with them contains provisions which make it difficult for them to override her day-to-day decisions, but of course they can still exercise a nuclear option and force her out entirely. Much in the same way a CEO, even one without any ownership stake, has "complete" control over the company they are running.
      All that being said, it's very weird for a subsidiary of a conglomerate to ask for an investment. I'd expect them to either you use internal resources to assist such companies or to sell them off.

      I've seen Peter make partial offers conditional on Deborah (rather than any other dragon) coming in with him before. They've worked together for a long time and clearly work well together.
      On the other hand I do think that for the format of the show sometimes that the Peter-Deborah axis is now too powerful and upsets the dynamic. When Duncan was around it wasn't so pronounced but it sometimes feels now like it's Peter and Deborah plus three, rather than five dragons of equal standing.

    One of the Den's best, with great business lessons. Melissa's side of this Den episode is also worth reading, as I explain at the end. She was there for over three hours!
    The unravelling of the business structure first reveals a couple of serious problems in the pitch (ie. the ownership, and the absence of the majority shareholder), but as it's hammered in turn by each of the Dragon's, especially after Deborah's quick precis of the shareholder's agreement, we learn that the whatever a business does, and whoever is involved in the directorship and decision making, the business is under the control of the majority shareholders, and if the majority is a company, rather than an individual, then it's a "subsidiary" of that company.
    This explains Elon Musk and Twitter, and the "hostile takeovers" we sometimes see in the news.
    After watching the clip I felt that Melissa deserved to be destroyed as she was, but with a little research I found her side of the story, and now I'm not so sure it was really her fault.
    Primarily, the BBC approached Magic Candy Factory to appear, and the company provided full details of the share structure *before* appearing in the Den. Melissa also points out that 3 hours in the den was edited to 15 minutes. Lastly, she addresses something which has always concerned me - the amount of preparation required by a startup with a small team. I picture myself spending sleepless weeks preparing while also running my business, and then still getting roasted for missing something, or forgetting numbers which I must present from memory.
    -------------
    “Obviously a huge amount of editing goes into each episode and they are only able to show around 15 minutes of each entrepreneur, when really I was in the Den for over three hours pitching and answering questions. Unfortunately my most memorable moments didn’t make it on air.”
    Snover says appearing on the show definitely raised her profile. “We have had a lot of enquiries through for both businesses as a result of appearing on Dragons’ Den, but I believe we could have achieved similar results had we focused the same time and resources into doing our own PR and marketing,” she adds.
    Would she recommend other companies, especially start-up, appear on the show? “For a start-up, the amount of due diligence and documentation you have to provide is extensive and can be a strain on a small team. The BBC approached us to go in the Den, and we provided all details of our shareholding before appearing on the show so I did find the way they edited the piece and the process overall a little frustrating. Having said that, it was certainly a learning curve and gave our brands some great exposure.”

    That lady wanted nothing but free advertisement. Katjes is a suuuper well known brand in Germany (it's actually third place behind Haribo and Storck on the sweets market here) and it has already branched into France, Belgium, the Netherlands, Italy and the US. This was obviously an attempt to break into the UK by establishing a bridge head in a niche market. The few thousand pounds are pocket money for Katjes and aren't needed if they actually have faith in their product, so the only reason to be on the show (with a 10% shareholder representing, no less, can't have the CEO of Katjes be in the UK for a day) is the free advertisement...

      I'm not sure that's what _she_ wanted. I think that's what Katjes wanted, and they were able to manipulate her into thinking it was in her best interests. A lot of corporations do this, they don't even have to be big ones. Give your employees a stake in the company, a snazzy title ("CEO" or something), a handful of shares, some freedom for decision making, tell them they're a big part of a journey they can take together, make them feel invested in it. It makes them forget the fact the company actually still controls everything, still has final say. Imagine if they got a Dragon in. Nothing's stopping Katjes from then restructuring everything, expanding their full brand into UK, giving the Dragon more stake and ultimately writing her out of the picture, because she's just a nobody and a Dragon is a much bigger investor with more influence. It's funny actually that none of them made that point to her just to break her spell. She so believed she was an equal partner with so much authority, even though she only has a 10% stake.
