    Really helpful content... but may I ask you what is the need of Data protection agreement if we already have a NDA in place?

      It's irrelevant for two main reasons.
      Reason 1: NDAs don't cover what DPAs cover.
      Reason 2: Entire Agreement Clauses - these mean that once you sign the main contract (after an NDA), only the agreements linked to this agreement will be enforceable. You can tie the NDA into this main agreement but it's messy - especially as you'd have a confidentiality clause in this new agreement.

    If a PO itself has terms, are there ever cases when PO T&Cs supercede the terms in an MSA? Especially if they're just "attached" to a PO without the other party agreeing explicitly into them? Or are they nullified if theres a signed MSA?

      Your MSA should dictate terms unless you specifically mention in the PO about new t&c for that specific service
