    As of January 1, 2024, the Financial Crimes Enforcement Network (FinCEN) has implemented the Corporate Transparency Act (CTA). The CTA requires all beneficial owners, which includes any individual who owns or controls at least 25% of a reporting company to file this report.
    Failure to comply may subject a person to civil penalties of up to $500 for each day that the violation continues. So, this video is a tutorial for filing your BOI report so that you are good to go!

    If the LLC was created on or after January 1st 2024 you have 90 days left, no 30. 30 days are for LLC created on or after 01/01/2025.

    Thank you for your info, it is the best video that i have found covering how to file the BOI report!
    When filling the BOI report there is a place to list a DBA, which I did. Do you still need to file a separate BOI Report for that DBA business name?

      The DBA does not create a separate entity, so there is no need to file a separate BOI for the DBA.

      @dk750022 yes, even if the DBA was filed with the SOS. A DBA is just another name, not another business or entity. It’s almost like a person having a middle name. Same person, but different from the first name.

      Non-profits have been designated as exempt. There could be more guidance in the future that distinguishes between certain nonprofits, but for now, no filing is necessary.

    Great stuff, first -lace I have seen that discusses multiple owners and how to add the into the form. I assume, as the filer, I would need the driver license of all other owners?

      You need either their licenses (or identification) or their FINCEN ID number.

    If you are a CA non profit but have not received your 501c3 status, do you still check box 37 for exempt or put down your board members as the beneficial owners?

    Please question: In section 11. , "Current US Address" I don't have Current US Address because i have Non-US Residents LLC in Wyoming, which have all addresses outside the united states . so which address we can put?

      Do you not have a U.S. based registered agent for your WY LLC? If so, you may be able to use the address of the RA.

    Hi,
    FinCEN requires a US company address and tells me not to use a virtual office.
    I am a non-resident and used Northwest Registered Agent address for incorporating and obtaining EIN. Weirdly, they say I can't use their address.
    What address should I use for BOI?

      @jcharles8348 Nothing great. I filed the report through Northwest dashboard and used their address.
      They are quite automated, so it can work.
      I'll let you know.

      @@jcharles8348 Northwest RA declined. I will just file the report myself (it's free) and use their address anyway.

    Thank you for your video...I do have a question, if I am the sole beneficial owner, is just my name, sounds like a stupid question but I want to be sure

      I’m not sure I understand your question. But if you are the sole beneficial owner, then you only report yourself for your reporting company. I hope I answered your question. 🙏🏾

      @@talbertlawoffice Thank you...there is the part where you explained if there is another beneficial owner of 25% of the company, in my case there is none. I still need to include myself in the Beneficial Owner #1 section?

      @blancamorales7400 Oh, I understand. Yes, as the 100% owner, you would report yourself because you own at least 25% of the company.

    Mam I want to close my llc permanently and I want to know (BOI) is mandatory for me before dissolving my llc. Mam please clear my doubt.
    My LLC is non resident llc in NH State and i am from India

      If your LLC was formed before January 1, 2024, then you have until January 1, 2025 to file your BOI. With that said, as long as your LLC is dissolved before January 1, 2025, BOI reporting will not be mandatory for you.

      As of now, yes, this is a one-time report (unless something changes in the business that requires an update).

    If the LLC is Control by the Trust then NOT Need fill the BOI ok?

      I would advise checking with the person who created the trust. FINCEN does exempt some types of trusts, so it will depend on what type of trust controls the LLC.
