Section 90 I understood even SBO rules bhi but my qus is ..
Ek xyz pvt ltd hain usme 21 shareholders hai , 21 shareholders me se Mr A mejorty shares hold krta hain.
Ab xyz pvt ltd ki ek subsidry company hai jiske shareholders list me xyz pvt ltd ka b name show h or Mr A ka bhi.
Mr. A ne 12.7% share holds kiy hai or holding coMpany ie xyz pVt ltd ne 55.74% shares held hai ... So kya Mr A us subsidiary coMpany ka SBO ban gya ?? or vo b BEN-1 Submit krega xyz pvt ltd k subsidiary company ko taake coMpany BEN-2 file kr ske.

A company is not a legal entity as they cannot buy or sell any assets on their name. It depends on the partners of the firm ,if they are dead then firm cannot continue further. Therefore a partnership firmcannot become a member in co.
