    Controversial topic but very glad you addressed. Based on my experience, I would DEFINITELY seek out the advice of an Attorney related to umbrella LLC's and so-called Parent-Sub structures especially if any of your LLC's are/will be single-member. Even though $ out of your pocket initially, an experienced attorney can potentially save you from aggravation down the road. Thanks Aiden.

      I think a lot of the controversies iis because different people have different circumstances. Just one example, some would say several business activities with little assets might not be worth the filing and annual state fees, banking, legal, etc

    Thank you! Quick Question, if you're willing to answer.... If you're in a state with charging order protection, why wouldn't you register them separately as stand-alone entities that provide services to each other? Is that for tax reasons, so that you wouldn't have to file separate returns? Wouldn't that increase liability if you have 1 LLC own the others?

    1 is a trucking business and the other is a Real Estate company. They are both LLCed. How do I structure it so I can put LLC1 over both of them?

    Aiden, your videos are very informative and helpful. I am based in NYC and my business is also based in NYC which is a clothing line (LLC-1). However, LLC-2 will be a health and beauty line for men and women, which I will hope to do an PLLC (medical facility) in connection to LLC-2.
    I would like to know with the examples you provided above should I do (LLC-1, LLC-2, & PLLC) it as an holding company, Sub-LLC, or an Parent- Sub Structures.
    Are should I just focus on making LLC 1/2 a holding company, sub-LLC, or an Parent-Sub Structure because the PLLC would be different.

    Hello. Could the BO own seperate LLCs to protect accets from a law suit. Like LLC1 money, LLC2 employees, LLC3 property rental contracts, LLC4 props. Say LLC3 property rental broke a 5 yr lease, could the landlord take your props, lights, costumes... because they belong to LLC4 props, not LLC3. Or can the lawsuit just name the BO and all the LLCs in the suit.

    Thanks so much, what a great video, question to have LLC 2 and 3 under LLC 1, does LLC 1 need to open LLC 2 and 3 or, just open 3 LLC's under B.O. And then do some paperwork to structure this properly. This is something fascinating to me, I guess if your planning to be successful with lots of income, then structuring your Business in this way would be a great idea

    Can you structure sole proprietorships this same way (knowing the LLC protection won't be there) and still deduct separate expenses/equipment under each business (on paper - all will still be filed as my personal taxes)...like camera gear for a video biz, and music gear for a royalty free music biz, that supplies the other video biz....???

    First, thank you for what you do. Second, I have a question and hope you can answer it. In your diagram you list LLC 2 and LLC 3 which are subsidiary LLC's to LLC 1 as you stated. When you form LLC 2 and LLC 3 as a single member LLC, do you have to list the single member of the LLC 2 and LLC 3 as the name of the LLC 1 or do you have to use your own personal name. I would assume you would use the name of the LLC 1 which would show that the LLC 1 is the Primary over the other LLC's. Is that correct?

    What about Non-Profits?
    Can one of the LLC subsidiaries be a non-profit? Or is there some other arrangement that is better for non-profits?
    In other words, what do you generally suggest when someone wants to: (1) create a non-profit for those in need, but (2) also wants to have a profit generating component that charges for services for those who can afford to pay?

    Thanks! In this example, let's say the owner actively works for LLC2. Would LLC2 pay payroll to him? Or would that be done by LLC1? If paid by LLC1, would that forfeit the asset protection of the holding company, since it is now being involved with payroll? Thanks!

    As an owner of multi families, does subsidiary llcs protect me better than an umbrella policy?

    Question in regard to liability insurance for this Umbrella/LLC's do we have too insure all the companies or can we just insure one but not the other ones? For example my first LLC is not so much at risk as my second, my second it deals with transportation so I like to have the extra protection.
    If I was to insure only my second, does the vehicles on this company has too be insured separately or does the same Liability insurance covers as car insurance too?

    Hi Aiden, So lets say you decide to go and work for a big firm as a 1099 IC while you work on building your Aiden Kramer, LLC law business. And to add another twist, lets say you work as a regular employee at a local law firm on Saturdays part time for extra cash. My question is would you form an umbrellla LLC as a holding company, then have your Kramer LLC as one company and the 1099 gig as another company? Or just let all the income and assets (excluding the Saturday job since thats a w2 job) flow into Aiden Kramer, LLC?

      In that specific instance I would probably keep it all under the one LLC since both gigs are so similar (ie. legal services). Plus, most of my liability as a lawyer would come from malpractice claims, which I have insurance for. I'd rather keep it simple and not have to deal with multiple entities.     Quick question, if an individual were to have say three LLCs in the umbrella structure, would each need its own EIN or would the “parent” EIN be sufficient? What if the individual were looking to establish separate lines of business credit for each LLC? Thanks
