A "Trust" can own them also, a true game changer!
Jamal Yusuf Ali Bey Absolutely‼️👍🏿
Good tip!🙂👍🏻👏🏻👏🏻👏🏻
Exactly, or a trust can be a single member.
Thank you for sharing so much valuable information, and also thank you for not loading every video with loud, repetitive, constant branding. Your delivery and editing is great, no need to cut to a jingle or stock intro/outro. Your content stands on its own. Well done.
By the way. I have been enjoying your videos on here this week. Every time I have a business question, your videos pop up and give me a good starting point.
Awesome way to put the flow of this video together. It all makes sense. Thank you very much for the knowledge, Aiden!!
I am so glad you did this video. I was going to search the web for umbrella LLCs but this video had WAY more information than I thought I would find. Thanks so much!
Every time I have some kind of question about business, you have the answer. Thanks for your videos. By the way good job on your makeup it looked really nice.
Thank you for your humor on this dry subject. I am watching your videos more and more for the entertainment factor.
I have so many different business ideas and it would be so much to have them all separate. So I thought about creating one parent company to hold them all under. This video helped so much. Thank you 🙏🏾
Thank you! You help break this info down in a cool way. I'm enjoying doing the ground work to get my business's started. Really appreciate your help.
Thank you so much!!! I was trying to figure out how to structure multiple businesses under one!!! This was a God-send!!!!
Very helpful vid- I've often wondered about the structure of a C-Corp owning multiple sub. LLCs from both a tax and asset protection standpoint.
finally understood LLCs and tax benefits, but id keep them all divided entities and deal with the paper work. finding quality team players... mission impossible
This is why I love CZcams... I'm learning so much from men and women like you. I hope you keep up the good work, cause I just subscribed. I know these videos are years old, but useful old information is still good information so please continue to update. Thanks!
I am getting a holding company now. Thank you so much for that helpful information. You rock.
These 2015 videos had such great quality and the sound was awesome.
Love your channel!!! So happy I found it by accident, I wasn’t looking up anything legal at the time. Great videos!!
Thank you for explaining this in the best way possible. I couldnt find any videos to clarify a Series LLC other than for real estate purpose. Thank you thank you thank you

Very good information. Thank you very much.
you're killing it!
Love you and your easy to understand videos...
I still feel I’m doing my business some what wrong. I will need to probably speak with a lawyer to avoid miscommunication, thank you for your videos
Your videos are so informative
Thank you, this exactly what I'm doing
This information is very helpful. Excellent knowledge. Thank you :)
You're a great presenter and funny too!
Controversial topic but very glad you addressed. Based on my experience, I would DEFINITELY seek out the advice of an Attorney related to umbrella LLC's and so-called Parent-Sub structures especially if any of your LLC's are/will be single-member. Even though $ out of your pocket initially, an experienced attorney can potentially save you from aggravation down the road. Thanks Aiden.
+Mark Zajac Agreed! Couldn't have said it better myself! Thank you so much for watching :-)
The Law Office of Aiden H. Kramer, LLC This was one topic that I couldn't find anywhere. Thanks so much for sharing. A quick question please. Now if the s corp and the sole owner llc has their own different EIN. is there a way I can get one EIN for both?
I think a lot of the controversies iis because different people have different circumstances. Just one example, some would say several business activities with little assets might not be worth the filing and annual state fees, banking, legal, etc
She cracked me up a couple times but this was really helpful
yayyyy!!! graphics - I love the Graphics
Thank you, well done!
Helpful, informative and charming!
Glad it was helpful! Thank you so much for the kind comment!
Great video....love the advice !!!!

I love your graphics!!!
Thank you!!!! This was VERY helpful! Now to just find how to file this in NYS
Alex Rhoden in California the forms are online! Im sure new york might do the same
New York secretary of State
Thank you for the good content
Thank you for that lesson. Now I know what is wrong with our tax system.
How can a man really pay attention when he’s hypnotized. Anyway, this is more down the lines of what fits me. I have three businesses and wasn’t really sure what to consider when it comes to LLC or Corp. Thank you Aiden for explaining this in the best way possible.
Great Job this helped totally
What about using a state that doesnt have charging order and then LLC in your own state?
Excellent info, and nicely explained, even to a Yokel like me, lol, thank you.
Great post, but judging by the comments it looks like you have more stalkers interested in your looks than actual subscribers interested in your information . Thinking about setting up this structure, so thanks for the information
She's not all that, those are just desperate incels in the comments. Trust me, you don't want to wake up next to that without makeup on! It's fn scary!!
I would smash!!
very good video explanation
Great lesson!
Your lisp is amazing!!
Lol thank you 😂

I really love your videos
Great Info! I'll take A Colorado Lawyer any day of the week! After we blaze the case, we can just blaze!
Haha! It's a "joint" effort working together :-)
Way to be "blunt" about it, sista!
Thank you! Quick Question, if you're willing to answer.... If you're in a state with charging order protection, why wouldn't you register them separately as stand-alone entities that provide services to each other? Is that for tax reasons, so that you wouldn't have to file separate returns? Wouldn't that increase liability if you have 1 LLC own the others?
thanks for info
Great video !! I just have one question. I own 2 companies;
1 is a trucking business and the other is a Real Estate company. They are both LLCed. How do I structure it so I can put LLC1 over both of them?
Thank you for your advice and your time. Keep being awesome and give Rocky a high paw for me 😎
Thank you Aiden for your video. Are you more exposed liability wise (piercing of the corporate veil) with having a parent LLC since they are all interrelated as oppose to having separate distinct LLCs?
Great video !!!
Thank U soooo much!!
hella helpful. bless. the drawing clutch too. can u do this with corporations as well?
Who the hell would dislike (thumbs-down) this video?
Aiden you are giving the world VALUABLE information that people would probably have to pay for, for FREE!
Great work Aiden and Thank you soo much for these videos.
In exchange for the free info I offer you FREE (High-End) graphics you can use in your videos. :)
* I actually enjoy your professionally crafted and expensive graphics but if you'd like to see what I mean just reply yes to this comment and I will send you sample graphics videos so you can see.
You’re in my city!!! Sweet!!
Thanks you for all you valuable info. Question. Are multiple LLC’c recommended for someone looking to start an AirBnb business that will initially partner with landlords and do rental arbitrage? Or would one LLC be fine to have with the multiple partnerships? And this LLC probably wouldn’t have any assets as they would be “renting” furnishings from the parent company.
I love your videos and here's a question... What is the correct NAICS Code for a holding/parent company?
I already have an LLC. I would like to start another completely different business but still under the umbrella of my LLC how do I do that?
Great videos. How does an s-corp election affect this umbrella ownership structure? 1)can llc 1 be an s-corp. 2) separately, can LLC 2 be an s-corp. 3) Last, can LLC 1 and LLC 2 both be s-corps?
Aiden, your videos are very informative and helpful. I am based in NYC and my business is also based in NYC which is a clothing line (LLC-1). However, LLC-2 will be a health and beauty line for men and women, which I will hope to do an PLLC (medical facility) in connection to LLC-2.
I would like to know with the examples you provided above should I do (LLC-1, LLC-2, & PLLC) it as an holding company, Sub-LLC, or an Parent- Sub Structures.
Are should I just focus on making LLC 1/2 a holding company, sub-LLC, or an Parent-Sub Structure because the PLLC would be different.
How would you pay yourself from llc2 or llc3? On the books would it still be a membership withdraw? Or would you have to pay llc1 then do a membership withdraw?
Hello I was wondering if you can create a video on how taxes are distributed if an LLC has DBA under it. Thank you, your video are veryyyyyyyyyyy helpful.
Hello. Could the BO own seperate LLCs to protect accets from a law suit. Like LLC1 money, LLC2 employees, LLC3 property rental contracts, LLC4 props. Say LLC3 property rental broke a 5 yr lease, could the landlord take your props, lights, costumes... because they belong to LLC4 props, not LLC3. Or can the lawsuit just name the BO and all the LLCs in the suit.
Thanks so much, what a great video, question to have LLC 2 and 3 under LLC 1, does LLC 1 need to open LLC 2 and 3 or, just open 3 LLC's under B.O. And then do some paperwork to structure this properly. This is something fascinating to me, I guess if your planning to be successful with lots of income, then structuring your Business in this way would be a great idea
Is it better to have a "Messed up umbrella LLC" or a sole proprietorship ?
1️⃣ Can Umbrella LLCs be used in Real Estate Investing, like “Flipping” ?
2️⃣ Can you give an example of a circumstance where the assets of one of the LLCs would be subject to one the other LLCs lawsuit?
Can you structure sole proprietorships this same way (knowing the LLC protection won't be there) and still deduct separate expenses/equipment under each business (on paper - all will still be filed as my personal taxes)...like camera gear for a video biz, and music gear for a royalty free music biz, that supplies the other video biz....???
First, thank you for what you do. Second, I have a question and hope you can answer it. In your diagram you list LLC 2 and LLC 3 which are subsidiary LLC's to LLC 1 as you stated. When you form LLC 2 and LLC 3 as a single member LLC, do you have to list the single member of the LLC 2 and LLC 3 as the name of the LLC 1 or do you have to use your own personal name. I would assume you would use the name of the LLC 1 which would show that the LLC 1 is the Primary over the other LLC's. Is that correct?
Very important question.
How are you holding the paper?
(Do you have a folded piece of tape on the back?)
Nope, just holding the bottom of it.
180 Law Co. LLC How does Wal-Mart work with this?
Great info! I want to have a counseling business, a blog, and a CZcams channel, would you recommend I set them all up as separate LLCs under an umbrella or parent company in order to not commingle and keep it straight for tax purposes? Thank you so much for this advice, it is awesome!!!!
Gwendolyn Juleus I would love if people who makes these videos commented more:)
I'm sure they would but their purpose of making these videos is to get paid
Great Video!
What about Non-Profits?
Can one of the LLC subsidiaries be a non-profit? Or is there some other arrangement that is better for non-profits?
In other words, what do you generally suggest when someone wants to: (1) create a non-profit for those in need, but (2) also wants to have a profit generating component that charges for services for those who can afford to pay?
Thanks!
The Art of Law you should look into either a C or S- Corp.
So this is basically what I am doing for my rental properties
Thanks! In this example, let's say the owner actively works for LLC2. Would LLC2 pay payroll to him? Or would that be done by LLC1? If paid by LLC1, would that forfeit the asset protection of the holding company, since it is now being involved with payroll? Thanks!
As an owner of multi families, does subsidiary llcs protect me better than an umbrella policy?
I'm thinking that I would file the holding company on A state that does not report.
Th thanks Aidan.
Thanks for your simple way of explaining that......definitely thinking of setting up a structure like that. are you into law for real estate? Would like to interview you
Question in regard to liability insurance for this Umbrella/LLC's do we have too insure all the companies or can we just insure one but not the other ones? For example my first LLC is not so much at risk as my second, my second it deals with transportation so I like to have the extra protection.
If I was to insure only my second, does the vehicles on this company has too be insured separately or does the same Liability insurance covers as car insurance too?
mario salazar what kind of transportation services you do?
when you are starting your business and don't have a business account yet, (it's in the process) how do you show transferring money from your personal account to pay for business expenses?
How would you use Umbrella LLC's in real estate? Same way or different? would you recommend using Land Trusts along with the Umbrella?
Hi Aiden, So lets say you decide to go and work for a big firm as a 1099 IC while you work on building your Aiden Kramer, LLC law business. And to add another twist, lets say you work as a regular employee at a local law firm on Saturdays part time for extra cash. My question is would you form an umbrellla LLC as a holding company, then have your Kramer LLC as one company and the 1099 gig as another company? Or just let all the income and assets (excluding the Saturday job since thats a w2 job) flow into Aiden Kramer, LLC?
In that specific instance I would probably keep it all under the one LLC since both gigs are so similar (ie. legal services). Plus, most of my liability as a lawyer would come from malpractice claims, which I have insurance for. I'd rather keep it simple and not have to deal with multiple entities. Thanks for the great question!
Quick question, if an individual were to have say three LLCs in the umbrella structure, would each need its own EIN or would the “parent” EIN be sufficient? What if the individual were looking to establish separate lines of business credit for each LLC? Thanks
