The deal was contingent upon twitters claim bots comprise 5% or less of activity. It's closer to 30%. Twitter vastly over valued their platform based on real user data.

There’s nothing odd about this, he needs to justify that the company is actually worth what he’s willing to pay. Same thing happens when you buy real estate, you make your offer, get inspections and appraisal and evaluate to make sure it actually worth buying at the price you offered.
Uh, that's not how real estate works. If you make an offer on the property these days in a seller's market, there may not be an inspection or an appraisal. AND usually, unless you are paying in cash, the bank is the one doing the appraisal to make sure the property is worth financing. B S is a good handle for you. You are talking smack.

I got a Twitter account when it was first launched. I had all these fake people wanting to follow me. I realized they were bots. So then I canceled my Twitter account.

Also, I noticed if you click into something, you instantaneously get a request from these bots.
It should work like, you explore , you like a page, they like you back, which is a known person. No one is looking for me to follow me that I’ve never interacted with.
It’s a way for them to create a desire to come back because you have fake followers, like someone wants to hear you, even when your thoughts or photos are unpopular.

As part of "due diligence" the company has to reveal the real figures. Mounting a takeover is a great way of finding out about the real company.
He ‘only’ has to pay $1B as a break fee if he pulls out of the deal completely. He could walk away, pay the $1B, and wait while the share price tanks and then come back in with a much, much lower 2nd offer.

This is normal practice. When you make an offer to purchase a home, the buyer has a right to check out the property, e.g.. termite, roof, pumbling, electrical, zoning, soil inpsections. Then the buyer can either drop out of the deal, go ahead with the deal, or renegotiate. As for Twitter, his inspections are revealing "fake" accounts--and the public is watching--and many are selling their shares of Twitter.

@King Iam, it would be if that is what he was doing. However Musk has multiple outs from this deal. Twitter admitted after accepting the deal on an earnings report that their reported active user counts were inflated.
Now they are admiting that 5% of their users are bots. Something they never disclosed to investors. There were very weird shifts in follower counts across Twitter after Musk made the offer. They claim these were organic but it seems fish based on other things going on.
Now the market is in free fall mode.
He has every justification for delaying or even canceling the purchase.
I really think Twitter put the "poison pill" in place not to prevent Musk from buying it but to prevent a hostile takeover for pennies on the dollar in the event the purchase didn't go through and the stock tanked.
Personally, I do not think too highly of Elon Musk because of his weird spiritually. However, with that said, he is one hell of a great CEO. He hires the best and lets them go free to create new and better things. He is one of the best CEOs in the entire world. Maybe even better management than the United States Marine Corp.

The best possible outcome is to expose both the blatant censorship and "book cooking" within twatter, which should lead to a pretty big hit to the stock value. Lets also consider lawsuits by advertisers, who were promised a certain "reach" of advertisements; however, are now finding out that the "reach" was imaginary, or just to bots.

I'm sure he wouldn't care about wasting all that money buying Twitter, but the effect on his other businesses could be financially fatal. If one man's opinion can tank an entire stock by this much, there was no Capital behind the company to back the speculation in the first place. The number of fake users was too high to justify the stock price to begin with. This is the problem with companies like Twitter. They have little or no bare Bones capital.
For example, if I own an oil drilling company that is worth a billion dollars. There are actual physical rigs out there in the world drilling the oil. There's actual physical oil coming out of the ground and being barreled that is backing the value of my company. Twitter's got what? A couple of office buildings and a few servers? That's not worth $40 billion.

With all the speculative buying up of homes going on, how are buyers supposed to be able to afford houses, if in addition to the already exorbitant prices for ANY average homebuyer, mortgage rates go up as well?????? What the guy said about due diligence first and then an offer is not exactly right. Without an agreement and offer to buy, you cannot get into the actual details of the company. The only research that can be done before offering is only the information most people can get on their own. They can dig a little deeper than most but until there is an actual deal with agreements in place, can they see the finer points and details.

Do you not know that a lot of the twitter famous people. Hire bot creators to make fake accounts to inflate the sub numbers and view numbers. This is what he wants to know. What is the real number of these fake inflator accounts. Right now twitter is valued based on fake accounts. If the total user base is actually 30% less than what is reported due to bot accounts. Then twitter themselves are reporting fake numbers and earnings based off none real money that doesn't exist and none real users that don't exists.
Basically what we are seeing is the real side of twitter being exposed right now. Fake accounts up surging twitter famous peoples accounts, who paid money to a programmer to make fake accounts for them.
