Great freaking video!
This video was very helpful, but it looks as if the online form was revised. It may be worthwhile to watch this while completing the form. The content is the same, but the form is organized a little different from the video now.
What is the difference between company officials and organizers? do I have to fill out company officials if organizers have been set?
Great.. I have question regarding to address. Is it good to go with same registered agent address and physical home address? Because i will be my own registered agent. So should i buy virtual address for registered agent or not?
Great video
We are very pleased you found the tutorial to be helpful! Best wishes for success with your business!

Perfect!
should i be concern when with turns red and says its not available will this be a issue in the future ?
Thank God for this
A Video needs to be created showing how to amend a NC LLC with a step-by-step tutorial. This tutorial should show how and where to find the forms and fill them out in addition to how to do it all electronically vs mail because being able to do this electronically is a timesaver. Also, it needs to show the cost and breakdown the options to expedite and the turnaround time for regular submission in addition to same day and/or next day submission. That would be truly helpful because when calling there are long hold times due to business of the business areas.
But who dislike this video? Probably incfile and legalzoom lol.
Great vid
The executing signatures page has changed. I got a little confused but I think I did it right.
The blue button on the website to do the online filing is not clickable and will only allow you to upload documents. The wizard option is not working. Ideas?
This was so helpful @NCSecState! Thank you for creating this video! A few things have changed but it is still super relevant. This was so much easier that I thought it would be 😀
Many thanks for your kind comments. We are pleased you found the video tutorial helpful despite its being somewhat outdated. You may be interested to know that we are in the final stages of updating and modernizing our website, which will include updating our video tutorials.

This is very recommended
I have register my business in another state as a SP now I want to register in NC and change to a LLC, what do I need to do?
I am trying to fill out the online business registration form for a PLLC (Board of Engineers and Surveyors) and every time I get to the Professional Licensee page it has a space to type what professional services are offered and it won't let me type in the box. There is a drop down box right underneath the type in box asking who the registered license holder is and it is not working either. Please fix this so I can submit my new business registration online. Thank You.
I love North Carolina!
Very helpful and easy.
I started to register my company, inc. what I need to now ?
If you have completed the registration process, you may not need to do anything else. See the information at www.sosnc.gov/Guides/launching_a_business. If you have additional questions, contact our Business Registration Division after 8:00 a.m. (M-F) at (919) 814-5400, Option 1, or email your questions to corpinfo@sosnc.gov.
So would filing the Business Registration Form come after filling the LLC?
You have to have an account on the site first, is that your individual acct or set it for the company?
It is your choice which name to use when you you create your account.
What if you're relocating your LLC from another State. Would you apply for new LLC in NC and dissolve the old LLC in the former state?
Hi Norma did you get an answer to your question…
The website is not set up the same on my phone as it is on this video.
I think this has been asked before, but I don't know how long ago. I'm looking into starting a solo, home-run LLC and I don't want to list my home address. Can I use a PO box for either or both the registered agent and the principal office? Or do I need a third-party service?
Under North Carolina law, the address for a business's registered agent must be an actual street address, not a post office box or a shipping store box address. This is necessary so that service of process or some other demand notice upon the company can be executed. As you correctly surmised, this information is a public record. So if listing your home address is a concern for you, there are companies, including virtual ones, you may contract with to act as your registered agent.
Does this also make sure no one can get the name of your business once you file and it’s approved?
Thanks 😊
Great Video I’m New In The State So This Process If Accepted You Will Receive Your Business EIN?
No, EINs are not assigned by the NC Secretary of State. You will need to apply to the IRS for an EIN. See www.irs.gov/businesses/small-businesses-self-employed/apply-for-an-employer-identification-number-ein-online. Likewise, you will need to apply for a North Carolina Withholding Tax ID Number with the NC Department of Revenue. See www.ncdor.gov/taxes-forms/business-registration/online-business-registration.
The links on your site are currently non functional for the business registration online page.
If I decide to change the name of my business, should I keep the current name, or refill out a new form for an llc, and can I get an EIN # before I change the name, or should I wait till after?
Thank you for your note. It is unclear to us from your message at what stage in the process you are with filing your business. If you have submitted your documents but have not received email confirmation that your filing has been approved, then send your name, daytime contact information and the exact spelling of how you want your business to be named to Mr. Daniel Crabbe, Document Supervisor, at dcrabbe@sosnc.gov. If you HAVE received confirmation that your filing has been approved, then you will need to file an Amendment to the Articles of Organization (if an LLC), form L-17 with $50.00 fee, or Articles of Amendment (if a business corporation), form B-02 with $50.00 fee. If you haven't already requested an EIN from the US Internal Revenue Service, we suggest you wait to do so until after the name change is filed. Otherwise, you would have to amend the EIN, too. We hope this information is helpful.
Sincerely,
NC Department of the Secretary of State
Did i hear you say that the business that we file for will not take effect till the mext following year of you submitting and getting Approved?
No. What you heard refers to the annual report not being due until the year following creation. See the information at www.sosnc.gov/Guides/launching_a_business/maintaining_registration.
what if I want to change the name of a LLC later
So do articles of incorporation also need to files with an LLC or is business registration all that’s needed?
Articles of Incorporation/Organization and Registration of a Partnership are the legal documents which must be filed in order to register a business entity with the Secretary of State in North Carolina. See the information on our website at www.sosnc.gov/Guides/launching_a_business/register_your_business. As a reminder, we have lots of information on our website designed to help you succeed, including:
1) a checklist for new businesses (www.sosnc.gov/Guides/launching_a_business/new_business_checklist);
2) information about maintaining your registration (www.sosnc.gov/Guides/launching_a_business/maintaining_registration);
3) a free subscription service to help you protect against having your business identity stolen from you (www.sosnc.gov/divisions/business_registration/online_business_services#Monitor); and,
4) a searchable database of local resource providers, including lenders, mentors, business counselors, and more (sosnc.gov/RISE). And even better, many of these resources are free!
We hope you will find all of these resources helpful, and we send our best wishes to you for success with your business! If you have problems or questions, you may contact our Business Registration Division at (919) 814-5400, Option 3, or via email at corpinfo@sosnc.gov.
Sincerely,
NC Department of the Secretary of State
For number 2 & 8 on the form, and the business address part can I use my home address? I'm in the process of getting a lease agreement and won't be able to use the location until late October.
If you are the organizer, you would enter your current business address, which could be a PO Box. If you do not yet have a business address, then you can use your residential address. The listing of company officials is optional. If you choose to, the address can either be a PO Box or your personal address if you do not yet have a business address. If you have any further questions, you may contact our Business Registration Division between 8:00 AM and 5:00 PM (Monday-Friday, excluding holidays), or you may email your questions to corpinfo@sosnc.gov.
thank you
Great video! I have a question in response to the address portion. Can the mailing and registered office street address be you have home office for business ? If not, what would you recommend to obtain virtual address?
Also if I have a sole proprietorship, should I do initial filing for LLC?
Would also love thus info. Doing eccomerce
@@demelzapoldark3035 hello! A virtual addres is recommended as your business information can be searched
I can find any free virtual address
@@engage_art great question, did you figure it out. I don't want to have my personal address made public, but idk what address to use, being that I plan to use my home as home office.
I have this question as well literally in the process of creating my LLC and I don't have a business address only my home address. What's the alternative?
Hi,
Why your signature is missing at the end of the form, Also, this the old version of the online registration. Kindly update the new one
Could anyone tell me where you put the type of services or business category for the LLC registration? Or is this specified later?
Thanks in advance!
Thank you for your question. You may add a purpose statement or a business category by attaching additional provisions to the Articles of Organization. Once you get to the section of the creation filing process there will be a link to upload any additional provisions to the Articles. We hope information is helpful. If you have any further problems or questions, you may contact our Business Registration Division at (919) 814-5400, Option 2, or you may email your questions to corpinfo@sosnc.gov. Starting my small business
Hope everyone have a successful business year and so on in 2022 ….
👏👏👏👏👏👏✊🏽😉
Best wishes for success! If our Department can be of assistance or answer any questions, please check out our website at www.sosnc.gov or call our office at (919) 814-5400.
I do 90% of my sales online I have a state tax withhold id. what type of permit or license do I need to obtain? I also do buyer's market in the local area.
Thank you for your question. Other than registering your business, the NC Department of Secretary of State does not issue permits or licenses. If you are in an industry that requires permits or licenses, you would need to check with the appropriate licensing or permitting entity. We have a list of common resources on our website at www.sosnc.gov/Guides/launching_a_business. You might consider contacting the Economic Development Partnership of North Carolina. They offer free business counseling for small businesses. Their website is edpnc.com/start-or-grow-a-business/start-a-business/. Good luck!
I'm just getting started and just registered for an account, however I need to change my entity name that I entered. But the site WILL NOT let me edit that. Please help. thank you
Dear Ms. Maynard,
There is just so much more information we need to know how to help you. Where are you in the process? Have you already submitted your documents and need to correct them? If you could email some of these details along with your daytime phone to cmyers@sosnc.gov, we’ll have someone contact you.
Sincerely,
NC Department of the Secretary of State
Does this also work if your business is already registered and I want to change my business structure to an LLC?
If you are trying to submit using our Wizard tool, no. But, you can submit online using the PDF upload method, which doesn't have a video.
Instructions can be found at www.sosnc.gov/Guides/online_submission_Of_business_filings. If you have any problems or questions, you may contact our Business Registration Division at (919) 814-5400, Option 1, or you may email your questions to corpinfo@sosnc.gov. Be sure to provide your and your company's name, your email address and a daytime telephone number where you can be reached if necessary.
New fields are now required than what the video showed. Need to update video
Thank you lord!!!
Thank you
Can we use a PO Box for the address where she mentioned that she used a business address, so that her personal one wasn't on the file?
Under North Carolina law, the addresses for a business's principal office AND its registered agent must be actual street addresses, not a post office box or a shipping store box address (these requirements are listed on our website at www.sosnc.gov/Guides/launching_a_business/limited_liability_company_requirements). Since all business filings are public records, some owners prefer not to list their home address. They either have a business address or they contract with a third-party registered agent whose address they can use in lieu of their home address. If listing your home address is a concern for you, you can do an internet search for a company that will act as your registered agent.
