Onboarding new directors, particularly younger and first time directors, has become an issue for all public companies. Today’s directors vary greatly in background, experience and age.
Paul Washington, Senior Vice President, Deputy General Counsel & Corporate Secretary for the Warner Media Group, joins Host TK Kerstetter to discuss the role of the corporate secretary in onboarding new directors. Washington reviews the onboarding responsibilities of the board candidate, the company and the existing directors.
“The company’s [onboarding] responsibility is to make sure that the director becomes a fully-effective contributing member of the board over time, because it does take a while,” said Washington. “I think it’s a team effort...to make sure that the director not only feels welcome and informed, but is also given the opportunities to contribute."
